The public is hereby informed that based on investigations conducted, ONE LIGHTNING CORP is offering different Product Packages for which it undertakes to give investors referral rewards for sponsoring new investors, a maturity reward for each matured package of their referrals, uni-level rewards or bonuses for up to the third level of referrals upon maturity of their shares and a share in the profits.
The Product Packages being publicly offered by ONE LIGHTNING CORP are in the nature of investment contracts which are considered as securities required to be registered with this Commission pursuant to Sections 8(8.1) and 12 of the Securities Regulation Code (SRC) before they are sold or offered for sale or distribution within the Philippines.
The sale or offering for sale or distribution of securities within the Philippines without a registration statement being filed with and approved by the Commission in violation of Sections 8(8.1) and 12 of the SRC is punishable with a fine of not less than FIFTY THOUSAND PESOS (P50,OOO.OO) nor more than FIVE MILLION PESOS or imprisonment of not less than seven (7) years nor more than twenty-one (21) years, or both in the discretion of the court pursuant to Section 73 of said law.
