This ADVISORY is prompted by reports and information gathered by the
Commission that individuals or group of persons representing A POWER/APOWER
PRO/A POWER PH/APOWER POWER BANK/APOWER POWER BANK SHARING
SOLUTION, OPC., are enticing the public, through social media platform or through
their own independent websites, to invest in said entity.
Based on their website, APOWER PH/APOWER POWER BANK claims that it is
located in Silicon Valley, USA, and it is an innovative intelligent infrastracture
manufacturer and operator for consumers scenarios. That it is committed to mobile
charging solutions, providing users with convenient and timely mobile power rental
services. A POWER further claims that it not only provides users with a high-quality
charging experience, but also uses its own advantages to continously carry out refined
operations for merchants, providing partners with comprehensive solutions such as
brand promotion, product exposure, word-of-mouth promotion, and new drainage. In
addition, A POWER PH/APOWER POWER BANK. is a mobile application that can be
downloaded in GOOGLE PLAYSTORE.
As posted on their website/mobile application, in APOWER PH and APOWER
POWER BANK, you can invest by registering first, then you can choose from any of the
Fiftheen (15) types of Advertising Charging Stations worth Php500.00 up to
Php1,000,000,00 valid for 3 days up to 80 days. The investor can earn from
Php12.50 up to Php120,000.00 daily or Php375.12 up to Php3,600,000.00
monthly. Also, investors can earn 10% from recharge commission and 10% up to 30%
from product commission.
Briefly, an “investment contract” exists when there is an investment or placement
of money in a common enterprise with a reasonable expectation of profits to be derived
from the efforts of others which is prominent in the scheme of A POWER/APOWER
PRO/A POWER PH/APOWER POWER BANK/APOWER POWER BANK SHARING
SOLUTION, OPC.
As such, the Securities Regulation Code (SRC) requires that said offer and sale of
securities must be duly registered with the Commission and that the concerned entity
and/or its agents should have the appropriate registration and/or license to sell such
securities to the public.
Records of the Commission show that APOWER POWER BANK SHARING
SOLUTION OPC is registered with the Commission as a One Person Corporation (OPC).
However, it is NOT AUTHORIZED to solicit investments from the public since it has
NOT secured prior registration and/or license from the Commission as prescribed
under Section 8 and 28 of the Securities Regulation Code (SRC).
Further, the scheme employed by A POWER/APOWER PRO/A POWER
PH/APOWER POWER BANK/APOWER POWER BANK SHARING SOLUTION, OPC., is
a “Ponzi Scheme” where monies from new investors are used in paying “fake profits”
to prior investors and is designed mainly to favor its top recruiters and prior risk takers
and is detrimental to subsequent members in case of scarcity of new investors.
The offering and selling of securities in the form of investment contracts using
the Ponzi scheme which is fraudulent and unsustainable, is NOT a registrable security.
The Commission will not issue a License to Sell Securities to the Public to persons or
entities that are engaged in this business or scheme.
In view thereof, the public is hereby advised to STOP INVESTING in the
investment scheme being offered by A POWER PH /APOWER PRO/A POWER
PH/APOWER POWER BANK/APOWER POWER BANK SHARING SOLUTION, OPC.,
and its representatives.
Those who act as salesmen, brokers, dealers or agents of A POWER PH /APOWER
PRO/A POWER PH/APOWER POWER BANK/APOWER POWER BANK SHARING
SOLUTION, OPC., in selling or convincing people to invest in the investment scheme
being offered by the said entity including soliciting investments or recruiting investors
through the internet may be held criminally liable under Section 28 of the SRC and
penalized with a maximum fine of Five Million Pesos (Php5,000,000.00) or
imprisonment of Twenty One (21) years or both pursuant to Section 73 of the SRC
(SEC vs. Oudine Santos, G.R. No. 195542, 19 March 2014).
Furthermore, the names of all those involved will be reported to the Bureau of
Internal Revenue (BIR) so that the appropriate penalties and/or taxes be
correspondingly assessed.
