This Advisory is prompted by reports received and information gathered by the
Commission on the illegal investment

taking activities of
Wozmara or Wozmara.com
.
Based on the
information gathered,
wozmara.com
has been conducting
investment

taking activities without the required registration and authority from the
commission.
Further, this entity claims that it is an advertising company that gives the
prospective investors an opportunity to earn passive income just by availing of their
“engines.”
Wozmara
offers several packages that they refer to as “engines” that are used
to
advertise for the platform. The allegedly “new” engines have
four types
, all of which
requires a 90

day lock

in period.
The
first type
requires an initial investment of Php1,377.00 which will “earn”
Php4,500.00.
The
second type
requires Php3,337.00 o
f investment which will earn
Php14,400.00.
The
third type
requires Php6,577.00 of investment which will earn
Php28,350.00.
The
fourth type
requires Php13,577.00 of investment which will earn
Php58,500.00. In addition to the promise of big
profits to be earned, the prospective investors
may also earn through commissions from referrals. Those who invested may earn
additional income by inviting more investors to the platform. Applying the
Howey Test
,
the investment

taking schemes employed by
W
ozmara or Wozmara.com
have the characteristics of an “investment contract” as
they involve the offering and sale of securities to the public where their investors need
not exert any effort other than to invest or
place money in its scheme with a reasonable
expectation of profit.
Therefore,
said entities or individuals
must be duly registered with the
Commission and that any person or entity intending to offer and sell its
investment
contract
are required to secur
e the necessary registration and/or license from the
Commission as well.
Based on the records of the Commission,
Wozmara.com or Wozmara
is
NOT
REGISTERED
with the Commission
and
OPERATES WITHOUT THE NECESSARY
LICENSE AND/OR AUTHORITY
to solicit, accept
or take investments/placements
from the public nor to issue investment contracts and other forms of securities defined
under Section 3 of the Securities Regulation Code (SRC)
.
Entities or corporations that
offer securities to the public that lack prior
registration with the Commission makes its activities illegal
for lack of
the
necessary license
and authority from the
Commission
.
Hence, the public is advised
NOT TO INVEST
or
STOP INVESTING
in
Wozmara or Wozmara.com
and similar entities who operate
without the necessary
licenses and/or authority.
Accordingly, the Commission warns all unscrupulous individuals and/or entities
that
strict penalties are imposed for violations of the Securities Regulation Code,
the Revised Corporation Code, and such othe
r rules and regulations enforced
by the Commission
.
Those who act as salesmen, brokers, dealers or agents of
such unauthorized
entities like the operators of
Wozmara or Wozmara.com
in selling or convincing
people to invest in their illegal investment sche
me including solicitations and
recruitment through the internet may likewise be criminally prosecuted and penalized
with a maximum fine of Five Million pesos (P5,000,000.00) or a penalty of Twenty

one
(21) years of imprisonment or both pursuant to Sections
28 and 73 of the SRC.
The names of all those involved will also be reported to the Bureau of Internal
Revenue (BIR) so that the appropriate penalties and/or taxes be assessed
correspondingly.
