The public is hereby informed that the corporate life Of CAPITOL HILLS GOLF & COUNTRY CLUB, INC (‘Capitol Hills’)l EXPIRED on 26 January 2010. Moreover, its secondary license to offer and/or sell securities to the public in the form of “Club or Golf Shares” was REVOKED by the SEC as early as 11 February 2004, As per information from Capitol Hills, it is currently undergoing liquidation proceedings before the Quezon Cty Regional Trial Court Branch 90 with Civil Case No. Q-11-261.
“Club or Golf Shares” issued by Capitol Hills are “securities” defined under the Securities Regulation Code as follovw:
“Securities*’ are shares, participation or interests in a corporation or in a commercial enterprise or profit-making venture and evidenced by a certificate, contract, instrument, whether written or electronic in character. It includes:
(a) Shares of stock, bonds, debentures, notes, evidences of indebtedness, asset-backed securities;
(b) Investment contracts, certificates of interest or participation in a profit sharing agreement, certificates of deposit for a future subscription;
In relation thereto, securities must be registered with the SEC, thru the issuance of a secondary license, before being offered or sold to the general public. Any entity that offers and/or sells the same without the requisite or revoked license is a violation under Section 8 of the Securities and Regulation Code.
The public is hereby advised to be circumspect of any offer or sale of said “Golf or Club Shares conducted by Capitol Hills itself or other persons/entities who are offering or selling their respective shares.
